Terms and Conditions

By using ClickLearn Universe (as defined below), you confirm that you accept these Terms and Conditions and that you agree to comply with them. If you do not agree to these terms, you must not use the ClickLearn Universe and the available Services.

ClickLearn may update and change the ClickLearn Universe from time to time to reflect changes to ClickLearn’s products, the users' needs and ClickLearn’s business priorities. In addition, ClickLearn reserves the right to update these Terms and Conditions from time to time.

If you fail to comply with any of the terms of these Terms and Conditions, you must immediately cease accessing ClickLearn Universe and using the Services available on the ClickLearn Universe site.

 

     

    1 Definitions and Interpretation

    1.1 The definitions in this clause apply to these Terms and Conditions. A reference to a statute or statutory provision is a reference to it as it is in force at any time, including all subordinate legislation.

     

    ClickLearn Universe:

    The website http://universe.clicklearn.com operated by ClickLearn together with any information, data, content and other materials, products, and services available through the site.

    ClickLearn:

    ClickLearn ApS incorporated under the laws of Denmark and registered in the Danish Company Register (CVR) under no. 33075731 with its main establishment at Sjæleboderne 2, 1122 Copenhagen K.

    Content:

    Refers to such recordings, files etc. created by you and generated by the Services available in ClickLearn Universe.

    Privacy policy:

    Services:  

    The various elements of services, including information, data, content, and other materials available in ClickLearn Universe, including the website itself, and any successor product(s) or service(s) made available through such website.

    Terms and Conditions:

    Terms and Conditions for any use of (including any access to) ClickLearn Universe.

    Virus:

    Anything or any device (including any software, code, file or program) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any program or data, including the reliability of any program or data (whether by re-arranging, altering or erasing the program or data in whole or part or otherwise); or adversely affect the user experience, including worms, trojan horses, viruses and other similar things or devices.

     

    2 Access and use of ClickLearn Universe

    2.1 ClickLearn Universe and the Services in ClickLearn Universe are available free of charge. It is a prerequisite to use some of the available Services in ClickLearn Universe, including your access and use of ClickLearn software products, that you have an active trial license or purchased license to use such software products.

    2.2 You are responsible for ensuring that all persons who access ClickLearn Universe through your internet connection are aware of these Terms and Conditions and other applicable terms and conditions, and that they comply with them.

    2.3 You must only access ClickLearn Universe and use the available Services for non-commercial, personal, professional, or educational purposes, and to learn how to use the services that ClickLearn provides or to learn about ClickLearn.

    2.4 The content and Services in ClickLearn Universe are provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from taking, any action based on the content on ClickLearn Universe.

    2.5 Where ClickLearn Universe contains links to other sites and material provided by third parties, these links are provided for your information only.

    2.6 ClickLearn makes no representations, warranties, or guarantees, whether express or implied, that the content in ClickLearn Universe or content created via use of the available Services is accurate, complete, or up to date.

    3 General restrictions

    3.1 You shall not facilitate, authorize, permit, or conduct any text or data mining or web scraping in relation to ClickLearn Universe, or any Services provided via, or in relation to, ClickLearn Universe.

    3.2 You shall not access, store, distribute, or transmit any Virus or any material during your use of the Services.

    3.3 You also agree not to:

    • Reproduce, duplicate, copy, or re-sell any part of ClickLearn Universe in contravention of the provisions of these Terms and Conditions.
    • Access without authority, interfere with, damage, or disrupt any part of the ClickLearn Universe; any equipment or network on which ClickLearn Universe is stored; any software used in the provision of the Services or the website; or any equipment or network or software owned or used by any third party.
    • Attempt to decompile, reverse compile, disassemble, reverse-engineer, or otherwise reduce to human-perceivable form all or any part of the software provided under the Services.
    • Access all or any part of the Services to build a product or service which competes with the Services and/or ClickLearn’s software products; or use the Services to provide services to third parties unless where this is an inherent part of the agreement between ClickLearn and you and set out in a separate license agreement.

    4 User Profile

    4.1 To access and use part of the Services in ClickLearn Universe you may need to create a user profile. ClickLearn may reject, or require that you change, any login credentials or other information that you provide in connection with the creation of your user profile. Your login credentials are for your personal use only and should be kept confidential. ClickLearn is not responsible for any use or misuse of your login credentials and all activities occurring from any user profiles that you have signed up for via ClickLearn Universe.

    4.2 If you register or use a user profile with ClickLearn Universe, certain information on you, including information about your learning progress and results, may be viewable by others by default.

    4.3 Any Content generated by you as part of your access and use of a Service available in ClickLearn Universe will be permanently lost unless you enter / have entered into a separate agreement regarding supply of ClickLearn services. Separate terms and conditions apply for your purchase of ClickLearn services.     5 Propriety Rights

    5.1 You acknowledge and agree that ClickLearn and/or its licensors are the owners of all intellectual property rights in the Services and in all available content and materials published in ClickLearn Universe.

    5.2 Except as expressly stated herein, no rights, including any patents, copyright, database right, trade secrets, trade names, trademarks (whether registered or unregistered), or any other rights or licenses are granted to you.

    6 Disclaimer of Warranties and Conditions

    6.1 The Services including the access and use of the content in ClickLearn Universe is made available on "as is" and “where available” basis without any warranty, express or implied, including, but not limited to, the implied warranties or conditions of merchantability and fitness for a particular purpose or uninterrupted or error free use of ClickLearn Universe or that defects will be corrected or that ClickLearn Universe and the Services are free of Viruses or anything else which may be harmful or destructive. The entire risk arising out of use or performance of the Services and the access to ClickLearn Universe remains with you.

    6.2 ClickLearn reserves the right to make improvements, add, change, or remove functionality, or correct any errors or omissions at its sole discretion only and without any obligation or liability accruing therefrom.

    6.3 ClickLearn has no obligation to provide any support or maintenance services for ClickLearn Universe.

    7 Limitation of Liability

    7.1 The Services and the access and use of ClickLearn Universe are provided on an “as is” and “where available” basis. You assume sole responsibility for results obtained from the use of the Services and ClickLearn Universe, and for conclusions drawn from such use, cf. clause 6.1.

    7.2 The entire risk arising out of use or performance of ClickLearn Universe remains with you. ClickLearn shall not be liable for any direct or indirect claims and or/ losses or tort, including loss of profits, loss of business, depletion of goodwill and/or similar losses or loss of data or information, or pure economic loss, or for any special, indirect, or consequential loss, costs, damages, charges, or expenses however arising under these Terms and Conditions.

    8 Assignment

    8.1 ClickLearn may at any time assign, transfer, sub-contract, or deal in any other manner with its rights or obligations under these Terms and Conditions.

    9 Other terms and conditions

    9.1 These Terms and Conditions refer to the following additional terms which also apply to your use of ClickLearn Universe:

    9.2 ClickLearn’s Privacy Policy (includes cookie policy). Your use of the Services including your submission of information, cf. clause 4, is subject to ClickLearn’s Privacy Policy.

    9.3 If you purchase Services from ClickLearn or have already purchased services, the terms and conditions for supply of ClickLearn services https://www.clicklearn.com/docs/general-terms/terms-and-conditions applies to your purchase and use of ClickLearn’s software products.

    10 Governing Law, Dispute Resolution and Venue

    10.1 These Terms and Conditions and all disputes arising out of or in relation to these Terms and Conditions shall in all aspects be governed by the Laws of the Kingdom of Denmark, except for the laws regarding conflict of laws. Notwithstanding the foregoing, the United Nations Convention on Contracts for the International Sale of Goods shall not apply. You and ClickLearn both agree to this.

    10.2 The Copenhagen City Court in Denmark shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions.
